Most teams in regulated industries know the rules exist. HIPAA. FINRA. SOC 2. The alphabet soup of compliance frameworks that govern how you handle sensitive information.

What most teams get wrong isn't the big stuff. Nobody's emailing unencrypted patient records on purpose. The failures are quieter. A shared link with no expiration date. A PDF with "password protection" that any free tool can strip in seconds. An audit trail that doesn't exist because nobody thought to turn it on.

And when the auditor shows up, they're not checking whether you know the rules. They're checking whether you followed them. Those are different things.

The Mistake That Costs the Most Money

Here's the pattern across healthcare, finance, and legal: teams over-invest in locking things down and under-invest in proving they locked things down.

Encryption? Probably fine. You're using HTTPS. Your platform encrypts at rest. Check.

But audit trails? Access logs? Proof that only authorized people viewed that document, and when, and for how long? That's where the gaps show up.

The HIPAA Security Rule at 45 CFR 164.312 spells out five technical safeguards: access controls, audit controls, integrity controls, person or entity authentication, and transmission security. Four of those five are about tracking and restricting who touches the data. Only one is about encrypting it.

Yet most compliance conversations start and end with encryption. It's the easiest box to check. The hard part is everything else.

In 2024, the HHS Office for Civil Rights reported 725 large healthcare data breaches affecting more than 276 million records. OCR closed 22 enforcement investigations that year and collected $12.8 million in penalties. The largest single settlement was $4.75 million against Montefiore Medical Center for Security Rule violations.

Those numbers keep climbing. And the common thread in most enforcement actions isn't that organizations had no security. It's that they couldn't prove what they had.

Password Protection Is Not Security

This one needs to be said plainly, because teams in every regulated industry still default to it.

Password-protecting a PDF does not constitute meaningful security. The permission passwords on PDFs can be removed instantly with free tools available on the first page of Google. Even document-open passwords are vulnerable to brute-force attacks with widely available software.

Worse: the moment you share the password, you've lost control of it. The recipient can forward it, write it on a sticky note, share it with their entire team. You'll never know.

For a HIPAA-covered entity, this matters because the Security Rule requires you to implement technical policies that "allow access only to those persons or software programs that have been granted access rights." A shared password on a PDF doesn't meet that bar. There's no individual user identification. No access logging. No way to revoke access after the fact.

For financial services, the problem is similar but the consequence is different. You need to prove who accessed what, when, for compliance audits. A password-protected PDF gives you none of that data.

Use passwords if you want a speed bump. But don't confuse a speed bump with a wall.

What HIPAA Actually Requires for Shared Documents

Most articles about HIPAA and document sharing stop at "protect patient data." That's not helpful. Here's what the regulation actually says.

If you're sharing documents that contain PHI (protected health information), the HIPAA Security Rule requires:

Access controls with unique user identification. Every person accessing PHI needs to be individually identifiable. Not "the team used a shared login." Not "we gave them the password." Individual identification, tracked.

Audit controls. You need "hardware, software, and/or procedural mechanisms that record and examine activity in information systems that contain or use electronic protected health information." Translation: you need logs that show who accessed what, when.

Transmission security. Data in transit must be encrypted. This is the one most platforms already handle with HTTPS/TLS.

Integrity controls. You need to be able to prove documents weren't altered after they were shared.

Person or entity authentication. You need to verify that the person accessing the document is who they claim to be.

And then there's the Business Associate Agreement. If your document platform touches PHI, they're a business associate. They must sign a BAA accepting shared responsibility. No BAA means you're already in violation, regardless of how good their encryption is.

One thing that trips up healthcare teams: general patient education materials (procedure overviews, wellness guides, facility brochures) typically don't contain PHI and can be shared freely. The rules kick in when the document connects to an identifiable patient. Know the line.

Wall Street's $3.5 Billion Lesson on "Off-Channel" Communication

Finance has its own version of this problem, and the price tag is staggering.

Since 2021, the SEC and CFTC have collected more than $3.5 billion in penalties from financial firms whose employees used WhatsApp, Signal, and personal text messages to discuss business. In August 2024 alone, 26 firms paid $393 million in a single enforcement sweep.

The rule they broke? SEC Rule 17a-4 and FINRA Rule 4511, which require broker-dealers to retain all business-related communications for at least three years, in a system that maintains a complete time-stamped audit trail including all modifications and deletions.

SEC Enforcement Director Gurbir Grewal put it bluntly when announcing charges against 16 Wall Street firms: "Recordkeeping requirements: they're sacrosanct. If there are allegations of wrongdoing or misconduct, we must be able to examine a firm's books and records to determine what happened."

This isn't about the content of the messages. As one Hacker News commenter put it, "99.9% of this was likely reminders for meetings, attendance and coverage messages, a message to a team member who timezone shifted from you and may be off any you need an answer etc."

Doesn't matter. The requirement is the record, not the substance. If a client report, a portfolio update, or an investment recommendation gets shared through any channel that doesn't preserve and archive, the firm is exposed.

For document sharing specifically, this means financial services teams need platforms that log every access, maintain immutable records, and integrate with their archiving requirements. If an auditor asks "who viewed this client report and when?" the answer can't be "we don't know."

What Auditors Actually Look For

Auditors across all regulated industries tend to check the same things, regardless of whether it's a HIPAA audit, a FINRA exam, or a SOC 2 assessment. For document sharing, here's what matters:

Can you show who accessed what? Individual user identification. Not IP addresses, not team-level access. The auditor wants to see a log that says "jane.doe@clientfirm.com viewed pages 1-14 at 2:47pm on March 3."

Can you show who didn't access it? This sounds backward, but it matters. If a document was restricted to specific domains or users, can you prove that unauthorized users were blocked?

Are your access controls actually enforced? Having a domain restriction policy written in a handbook doesn't count. The auditor wants to see it configured and functioning in the platform.

How long do you retain access logs? HIPAA requires six years. FINRA requires three to six years depending on the record type. If your platform purges logs after 90 days, you've got a problem.

Can you revoke access? If a document should no longer be accessible (employee departure, client offboarding, litigation hold release), can you kill the link immediately? And can you prove when you did?

As one commenter on Hacker News noted about modern healthcare compliance expectations: "HIPAA is the lowest bar for healthcare now. Most multi-hospital health systems won't even look at you without a SOC2 / HiTrust, combined with frequent security audits & pen tests."

The bar keeps rising. What passed an audit three years ago might not pass one today.

Law firms operate under a different but equally strict framework: ABA Model Rule 1.6(c) requires lawyers to "make reasonable efforts to prevent the inadvertent or unauthorized disclosure of, or unauthorized access to, information relating to the representation of a client."

Comment 8 to Model Rule 1.1 adds a technology competence requirement: lawyers must "keep abreast of the benefits and risks associated with relevant technology."

According to the ABA's 2023 Legal Technology Survey, 29% of law firms reported experiencing a security incident that year, up from 27% the year before.

The challenge for law firms is unique. Attorney-client privilege isn't just a best practice. It's the foundation of the entire profession. When privileged documents leak, the consequences extend beyond fines. Clients lose trust. Cases can be compromised. Malpractice claims follow.

Yet many firms still share sensitive case documents via email attachments with no access tracking, no read receipts, no ability to revoke access after the fact. The email leaves the outbox and the firm loses all visibility into what happens next.

Discovery documents add another layer. Court orders often specify exactly how documents must be handled, shared, and eventually destroyed. If your sharing platform can't support controlled access with verifiable deletion, you're creating risk every time you distribute case materials.

How to Actually Share Documents Securely (Not Just Theoretically)

The gap between "we have security features" and "we can prove we used them correctly" is where most compliance failures live. Here's what matters in practice:

Domain restrictions over passwords. Restrict document access to specific email domains (@clientcompany.com, @lawfirm.com). This forces individual identification through email verification. You get an audit trail of who accessed what. Passwords give you none of that.

Expiring links. Set access windows. A quarterly client report doesn't need to be accessible forever. A discovery document shared for opposing counsel review should expire when the review period ends.

Page-level analytics as audit evidence. Knowing that someone opened a document is good. Knowing they viewed pages 1-12, spent four minutes on page 7 (the financial disclosures), and didn't access pages 13-20 (which contain data they weren't supposed to see) is audit-grade evidence.

Immediate revocation. When access should end, it should end now. Not after the next cache refresh. Not after the link expires next month. Now.

Exportable access logs. Your auditor probably doesn't want to log into your document platform. They want a CSV or PDF of access records they can review offline and attach to their report.

CFTC Commissioner Christy Goldsmith Romero captured this dynamic when she stated that the CFTC "will not allow Wall Street to undermine law enforcement by obfuscating or deleting communications surrounding trading." But the employees at those firms weren't trying to undermine anything. They were trying to get work done.

The fix isn't more rules. It's making the compliant path the easiest path. If your secure document sharing platform is harder to use than emailing a PDF, people will email the PDF. Every time.

That's the real test for any document security setup in a regulated industry. Not whether it's possible to comply. Whether it's practical to.
